Terms & Conditions
Conditions of sale and / or supply of goods and / or services
These conditions form an integral part of the contract or agreement for the sale and/or supply of goods and/or services (“the products”) by BookSpace Ltd (“The Company”). Unless specific alterations or deletions are expressly agreed in writing on behalf of the Company, these conditions shall apply in their entirety to all quotations made and all orders accepted on behalf of the Company. Except as provided above, no employee or agent of the Company has any authority to vary these terms, or accept other terms proposed by a Customer, which are inconsistent with these conditions.
1. Availability
1.1 All orders are accepted subject to the product being available.
2. Quotations
2.1 The Company’s quotation does not constitute an offer and is not a contract.
3. Price
3.1 All prices quoted or listed by the Company are based on the Company’s estimated costs at the time of quotation or listing and are subject to adjustment prior to despatch to cover any increase in prices or costs, the increase of any taxation, duty or other levy which might take place prior to delivery.
3.2 Where goods are imported the Company reserves the right to vary the price quoted to reflect the exchange rate for purchase of the relevant currency in pounds sterling.
3.3 After acceptance by the Company an order may not be cancelled or varied by the buyer without written agreement between the partied. The buyer will be liable to indemnify the Company against any loss sustained by the Company resulting from the cancellation or variation at the following scales:
One week prior to the agreed delivery/installation date – 100% of order value
Two weeks prior to the agreed delivery/installation date – 75% of order value
Three weeks prior to the agreed delivery/installation date – 50% of order value
Four weeks prior to the agreed delivery/installation date – 20% of order value
4. Payment
4.1 Unless otherwise agreed, accounts are due and become payable not later than 30 days from date of the Company’s invoice.
4.2 Unless otherwise specifically stated, the purchase price excludes Value Added Tax. The Customer shall pay such tax as an addition to payments otherwise due to the Company.
4.3 Any minor shortages or defects which do not affect the use for which the goods are intended will not affect the payment terms.
5. Interest
5.1 The company reserves the right to charge interest at the rate of 4% per annum above the base rate of the Bank of England on the unpaid balance.
6. Supply and delivery
6.1 The Company will use reasonable endeavours to deliver at the time stated but dates are regarded as estimates only. The Company shall not be liable for any delay however caused.
6.2 Where the products are to be supplied over a period of time then each supply shall constitute a separate contract.
6.3 The costs of carriage and packaging is included in the quoted price unless otherwise stated. Packing cases and materials are non-returnable unless otherwise stated.
6.4 The buyer must inform the Company at least 24 hours prior to delivery/installation date if the delivery/installation cannot take place on the agreed date. In the event that the installers are unable to carry out the agreed works the buyer will be liable for delivery and labour costs.
6.5 The buyer is liable for any costs incurred in the event that the products ordered by the buyer cannot be installed due to circumstances beyond the Company’s control such as physical differences to the space originally surveyed and/or the space not being prepared as agreed in the contract.
7. Returns
7.1 The Company only accepts returns where goods are faulty or where they do not conform to the buyer’s order.
8. Notification of loss or damage
8.1 The Company must be informed in writing within five working days of delivery of goods in the event of any damage or shortage otherwise the goods shall be deemed to have been accepted by the buyer as being in good order.
9. Risk and title
9.1 The risk in the goods passes to the buyer upon delivery but property in the goods remains vested in the company and shall only pass from the Company to the buyer upon full payment being made by the buyer to the company of all sums.
9.2 The buyer agrees that prior to full payment being made the Company may at any time repossess the goods and enter the buyer’s premises and remove the goods.
10. Warranty and limitation of liability
10.1 The Company offers a 5-year warranty on timber-based products and soft-seating.
10.2 The warranty covers any product, part, or component that fails under normal use due to a defect in materials or workmanship. The warranty does not cover general wear and tear, or any damage, breakage, or faults caused by misuse, accidental damage, improper installation, or modifications made by the customer.
10.3 The obligations of the Company shall not extend to defects caused by incorrect storage and/or onward transportation.
10.4 The Company shall not be liable to the buyer, or be deemed to be in breach of contract by reason of any delay in performing, or any failure to perform, any of the Company’s obligations in relation to the products, if the delay or failure was due to any cause beyond the Company’s reasonable control.
10.5 This warranty is valid from the date of purchase and applies only to the original purchaser. Proof of purchase may be required for any claims. For further details or to make a warranty claim, please contact our customer service team.
11.1 The Company shall be excused from liability to the buyer if performance of the contract is prevented or hindered by any cause whatsoever which if beyond the Company’s control.
12. Jurisdiction
12.1 These conditions shall be governed by, and construed in all respects in accordance with English Law.
13. Colours
13.1 The Company makes every effort to display colours as accurately as possible. However, we cannot guarantee the colour seen on screens will be the exact colour of the product due to variations in screen and display settings. Therefore, the Company advises ordering laminate and/or fabric samples before ordering .
